1. Acceptance of Terms

By accessing or using byblacktieoptional.com (the "Site") or purchasing any products or services offered by Black Tie Optional ("we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use the Site or make any purchases.

2. Services Offered

Black Tie Optional provides custom website design services and pre-made website templates for purchase. These Terms apply to all visitors, clients, and customers who access or use our Site or services.

3. Website Templates — License & Permitted Use

All website templates sold by Black Tie Optional are licensed, not sold. Upon completing your purchase, you are granted a non-exclusive, non-transferable license for personal use only, subject to the following conditions:

• Templates may be used for one personal website per purchase.

• Templates may not be used for commercial purposes, including websites that generate revenue, promote a business or service, or are used on behalf of a third party.

• Templates may not be resold, redistributed, sublicensed, shared, or re-packaged, in whole or in part.

• Templates may not be used to create derivative template products for sale or distribution.

• Modifying a template for your own personal use is permitted; however, modified versions remain subject to all restrictions in these Terms.

Third-Party Assets

Some templates include third-party assets (such as fonts, graphics, or plugins) that are licensed for your use as provided. These assets are subject to their respective third-party license agreements. Black Tie Optional makes no warranties regarding your rights to modify, redistribute, or use those assets beyond the scope of your template license. You are responsible for reviewing and complying with any applicable third-party license terms.

4. Custom Website Services

For custom website design projects, the specific scope of work, deliverables, timeline, and payment terms will be outlined in a separate project agreement or proposal provided to you prior to the start of work. In the event of any conflict between these Terms and a signed project agreement, the project agreement shall govern.

Ownership of custom website deliverables will transfer to you upon receipt of full payment, except for any third-party components, frameworks, or assets that remain subject to their own licenses.

5. Payments

All prices are listed in U.S. dollars. Payment is due at the time of purchase for template products. For custom website projects, payment terms will be specified in your project agreement.

We reserve the right to change our pricing at any time. Price changes will not affect purchases already completed.

6. No Refund Policy

All sales are final. Due to the digital nature of our products, Black Tie Optional does not offer refunds or exchanges on template purchases once a download or access link has been provided. Please review all product descriptions, previews, and details carefully before completing your purchase.

7. Intellectual Property

All content on byblacktieoptional.com — including but not limited to templates, design files, graphics, text, logos, and branding — is the intellectual property of Black Tie Optional and is protected by applicable copyright, trademark, and intellectual property laws. Nothing in these Terms grants you any ownership rights in our intellectual property.

8. Data & Privacy

We collect only the personal information necessary to provide our services and fulfill your orders (such as your name, email address, and billing information). We do not sell, rent, or share your personal data with third parties for marketing purposes. For more information, please refer to our Privacy Policy.

9. Disclaimer of Warranties

Our Site, templates, and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

To the fullest extent permitted by law, Black Tie Optional shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, our templates, or our services — even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to these Terms shall not exceed the amount you paid to us for the product or service at issue.

11. Indemnification

You agree to indemnify, defend, and hold harmless Black Tie Optional and its owners, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of our Site, your violation of these Terms, or your infringement of any third-party rights.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.
